Graybeardedgreenberet.com provides bushcraft and tactical survival information and provides online bookings for events and workshops.

***We do not ship any gear outside of the United States and/or Canada at this time. If you sign up to become a GB2 Member, you will not be able to order gear from us. *Memberships purchased from Canada, with a shipping address outside of the U.S., may be invoiced for shipping charges for your Membership patch and coin***

Distance learning center courses, videos, and films

High Sierra Consulting, LLC, Gray Bearded Green Beret, or Joshua Enyart, does not provide any form of certification for any of our Distance Learning Center courses.

The information contained in GB2 DLC multimedia content (“Distance Learning Center Videos”) has been made available for informational purposes only. High Sierra Consulting, LLC, Gray Bearded Green Beret, or Joshua Enyart, does not make any representation or warranties with respect to the accuracy, applicability, fitness, or completeness of the Video Content. Shipping Insurance

Order over $200 may be subject to signature required deliveries based on risk management practices.  Please request in the order notes if you do not want a signature required delivery, but please note that you will be responsible for the order if it shows as delivered, but you did not receive it. 

USB Drives

Please note that by Law, you are not allowed to share or distribute films you purchase in any way. Backing up the film files to your other devices is ok, but anything beyond that is considered stealing. 

Electronic Communications

Visiting www.graybeardedgreenberet.comor sending emails to The Gray Bearded Green Beret constitutes electronic communications. You consent to receive electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.

Your Account

If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that The Gray Bearded Green Beret is not responsible for third party access to your account that results from theft or misappropriation of your account. The Gray Bearded Green Beret and its associates reserve the right to refuse or cancel service, terminate accounts, or remove or edit content in our sole discretion.

If you create an account or place an order using false information, such as a false address, phone number, email or name, your account can be terminated, or your order put on hold (suspended) until we receive the correct information. This includes purchases for online streaming only. Refunds are not available for purchases that are made under accounts made with false information. 

Please note that any purchases or accounts made from countries that are on the United States list of banned countries to do business with will be canceled immediately without refund. 

Children Under Thirteen

The Gray Bearded Green Beret does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use www.graybeardedgreenberet.comonly with permission of a parent or guardian.

Cancellation/Refund Policy | Merchandise Return Policy

Please note we do not accept retroactive discounts. If you forget to enter your coupon code, we cannot apply that discount after the fact. 

Gray Bearded Green Beret has a return policy of 30 days after you receive your order.

All returned products must be in their original and unused condition and must be in their original packaging.

Perishable products and apparel are not eligible for refunds, returns or exchanges. We also do not accept returns for the following items: Clothing of any sort, Boots, Gloves, Batteries, Headwear, Body Armor, First Aid or trauma treatment products (including tourniquets), any special order items, or seasonal items, such as the GB2 Fully Loaded Stocking.

There will be a 20% restocking fee for items returned with no defect, which will be deducted from your refund. Please include the original packing slip with all returns for proof of purchase. We do not refund shipping charges, and shipping costs for all returns are the customer’s responsibility if there is no manufacturers defect. If your merchandise is found to have a legitimate manufacturer’s defect, your shipping costs will be refunded (Lowest rate ground shipping only), or applied towards your exchange, and there will be no re-stocking fee.

GB2 Membership Returns

GB2 Lifetime Memberships are non-refundable. GB2 monthly memberships can be cancelled at any time, but please note that if you cancel your Membership prior to your 2nd months payment, you will not be refunded the 1st month as the value of your Challenge coin and Members Only patch is higher than your 1st months payment. If your membership is set for cancellation prior to your next months payment, there are no refunds for the month that you have already paid for. Memberships are pre-paid for the month and once cancelled you will still have access until your membership expires at prior to your next payment date.

GB2 Member Discounts

Please note that we DO NOT accept retroactive discounts for memberships purchased at the same time as merchandise or live events. You must already be a member to take advantage of member discounts.

We do not accept returns for any products 30 days after you receive your order.

Clearance items are not eligible for return. Sale items that are returned will only be returned for the original sale price that you paid, plus the standard 20% restocking fee if a restocking fee applies to your return.

LOST OR STOLEN PACKAGES

Gray Bearded Green Beret is not responsible for stolen packages. If packages are shown as “Delivered”, and list a date and time that they were delivered, you are responsible for the safety of that package once it has been properly delivered to the address listed on your order. 

Tips for avoiding package theft: 

• Have your package delivered to your work.
• Have your package delivered to the home of a relative or friend that you know will be home.
• Have your package held at your local post office for pickup.
• Request that your package has signature confirmation upon delivery in your order notes.
• Ask your carrier to place package in an area out of plain view.
• Use a doorbell camera or security camera
• Be sure to check your tracking updates so you are aware of when your package is going to be delivered.

Lost packages will be reported to the shipping carrier by Gray Bearded Green Beret and a claim filed. At the conclusion of the carrier investigation USPS, UPS or FedEx, a decision will be made on how to proceed. In most cases, if your package was lost by the shipping carrier, we will replace your gear once an official determination is made by the carrier that your package was indeed lost.  ***Please note that during the COVID pandemic, shipping times may be much longer than listed in some cases. This is out of our control.  As of December 2020, customers are advised to choose UPS as their shipping carrier. 

Event / Workshop Cancellation Policy

No refunds are available if you cancel within 60 days of the event date. Your tuition can be applied to a future class if you need to postpone 30-60 Days prior to the event date. There are no refunds or postponements inside of 30 days from the event date.

If an event is cancelled by Gray Bearded Green Beret, you will receive a full refund or have the option of attending the next event rather than a refund.

A 75% refund of tuition is available if you cancel between 60-90 days prior to the event. If you cancel with more than 90 days before the event date, you will be eligible for a tuition refund, minus a 10% cancellation fee. If you purchased an event prior to a sale, or did not realize there was a sale, we do not offer retro-active discounts for courses, so we will be unable to provide you a refund for the difference. You may not cancel your event and re-sign up to receive a new discount code either.

If you received any free gear or virtual training as part of any promotions at the time of your course signup, and you cancel within an eligible refund period, your refund will not include the price of the gear or virtual training items you received. The retail value of the free items you received will be deducted from your refund.

In-Person Event Conduct

Students who are not actively participating in any of the GB2 Courses, or not following instructions, will not be allowed to stay at the course, and will not be entitled to a refund of any kind. GB2 instructor cadre may dismiss any student for inactivity, or misconduct, at the sole discretion of the lead instructor.

ONLINE COURSES RETURN POLICY

Due to the nature of these products we do not offer returns on any online digital product.

DIGITAL MEDIA RETURN POLICY

DVDs and USB Drives are not returnable due to the content being digital media that can be copied. If you receive a DVD and it does not operate properly, we will replace the DVD once we receive the non-working DVD(s).  Films on USB drives that are lost due to user error are not returnable or replaceable. There are NO returns on USB film purchases, only replacements if deemed necessary due to bad file transfers.

Act of God Clause:

If an Act of God causes the cancellation and rescheduling of an event, such as an earthquake, flood, lightning storm, hurricane, tornado, mudslide, meteor shower, or another natural disaster, the course will be re-scheduled within 60-90 days of the original course date. If GBGB cannot re-schedule the event within that time frame, attendees will be given a voucher to attend any course of their choosing within the next 12 months. If an attendee misses the course due to the inability to travel from their location due to an act of God, they will be given a voucher for a future course. If there is not a future course scheduled within 12 months, the attendee’s voucher will still be valid until such time that GBGB  holds another similar event.

Live Course Cancellations may be made in writing to [email protected]. Cancellations are subject to cancellation fees. For cancellations, amounts paid, minus cancellation fees and other amounts owed, will be promptly refunded. The cancellation fees will be assessed regardless of resale of workshop spot. No refunds will be made in the event of interruption or cancellation by the Guest after workshop/class commencement date or for any purchase of a private training. All appropriate refunds will be made directly to the Guest’s credit card account.

All items that are listed as pre-orders are charged at the time of checkout.

Indemnification

Arbitration

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney’s fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.

Class Action Waiver

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and The Gray Bearded Green Beret agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

GB2 Founders 100 Lifetime Membership

GB2 lifetime Founders 100 Memberships, limited to 100 Founding Members, will guarantee access to GB2 Membership for at least 5 years. GB2 Lifetime Memberships are non-refundable.

GB2 Standard Monthly Memberships

GB2 monthly memberships can be cancelled at any time, but please note that if you cancel your Membership prior to your 2nd months payment, you will not be refunded the 1st month as the value of your Challenge coin and Members Only patch is higher than your 1st months payment. If your membership is set for cancellation prior to your next months payment, there are no refunds for the month that you have already paid for. All Memberships are subject to removal from the membership program, without a refund, if anything illegal is posted on the members page or members news feed. There will be a zero tolerance policy in regards to posting non-survival/bushcraft posts or pictures in the Members-only news feed. 

Discord Server for GB2 Members

The Discord server for GB2 is a privilege, not a right. It is a bonus for being an active member. If you post links that are not approved by a moderator, plug your own business without prior approval, attack anyone personally, fail to follow the directions of a moderator, or violate any other terms listed in the main GB2 terms and conditions policy, you will be removed from the Discord server, and you could be subject to having your membership revoked. 

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. Termination/Access Restriction

To the maximum extent permitted by law, this agreement is governed by the laws of the State of Arkansas and you hereby consent to the exclusive jurisdiction and venue of courts in Arkansas in all disputes arising out of or relating to the use of the Site. You agree that no joint venture, partnership, employment, or agency relationship exists between you and The Gray Bearded Green Beret as a result of this agreement or use of the Site. The Gray Bearded Green Beret’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of The Gray Bearded Green Beret’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by The Gray Bearded Green Beret with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and The Gray Bearded Green Beret with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and The Gray Bearded Green Beret with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Changes to Terms

The Gray Bearded Green Beret reserves the right, in its sole discretion, to change the Terms under which www.graybeardedgreenberet.comis offered. The most current version of the Terms will supersede all previous versions. The Gray Bearded Green Beret encourages you to periodically review the Terms to stay informed of our updates.

THIS IS A LEGAL AGREEMENT BETWEEN YOU AND High Sierra Consulting, LLC, & Gray Bearded Green Beret

BY SUBMITTING THE ONLINE APPLICATION YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND CONDITIONS OF THIS AGREEMENT AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR EACH AND EVERY TERM AND CONDITION.

Overview

This Agreement contains the complete terms and conditions that apply to you becoming an affiliate in our Affiliate Program. The purpose of this Agreement is to allow HTML linking between your web site and the graybeardedgreenberet.com web site. Please note that throughout this Agreement, “we,” “us,” and “our” refer to The Gray Bearded Green Beret, LLC, (graybeardedgreenberet.com) and “you,” “your,” and “yours” refer to the affiliate.

Affiliate Obligations

2.1. To begin the enrollment process, you will complete and submit the online application on our website, graybeardedgreenberet.com. The fact that we, in some cases, may auto-approve applications does not imply that we may not re-evaluate your application at a later time. We may reject your application at our sole discretion. We may cancel your application if we determine that your site is unsuitable for our Program, including if it:

2.1.1. Promotes sexually explicit materials

2.1.2. Promotes violence

2.1.3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age

2.1.4. Promotes illegal activities

2.1.5. Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law

2.1.6. Includes “Merchant” or variations or misspellings thereof in its domain name

2.1.7. Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion.

2.1.8. Contains software downloads that potentially enable diversions of commission from other affiliates in our program.

2.1.9. You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor designs your website in a manner which leads customers to believe you are Gray Bearded Green Beret or any other affiliated business.

2.2. As a member of The Gray Bearded Green Beret’s Affiliate Program, you will have access to Affiliate Account Manager. Here you will be able to review our Program’s details and previously-published affiliate newsletters, download HTML code (that provides for links to web pages within the Gray Bearded Green Beret web site)

2.3. Gray Bearded Green Beret reserves the right, at any time, to review your placement and approve the use of Your Links and require that you change the placement or use to comply with the guidelines provided to you.

2.4. The maintenance and updating of your site will be your responsibility. We may monitor your site as we feel necessary to make sure that it is up-to-date and to notify you of any changes that we feel should enhance your performance.

2.5. It is entirely your responsibility to follow all applicable intellectual property and other laws that pertain to your site. You must have express permission to use any person’s copyrighted material, whether it be a writing, an image, or any other copyrightable work. We will not be responsible (and you will be solely responsible) if you use another person’s copyrighted material or other intellectual property in violation of the law or any third-party rights.

Gray Bearded Green Beret Rights and Obligations

3.1. We have the right to monitor your site at any time to determine if you are following the terms and conditions of this Agreement. We may notify you of any changes to your site that we feel should be made, or to make sure that your links to our web site are appropriate and to notify further you of any changes that we feel should be made. If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in The Gray Bearded Green Beret Affiliate Program.

3.2. The Gray Bearded Green Beret reserves the right to terminate this Agreement and your participation in The Gray Bearded Green Beret Affiliate program immediately and without notice to you should you commit fraud in your use of The Gray Bearded Green Beret Affiliate Program or should you abuse this program in any way. If such fraud or abuse is detected, The Gray Bearded Green Beret shall not be liable to you for any commissions for such fraudulent sales.

3.3. This Agreement will begin upon our acceptance of your Affiliate application, and will continue unless terminated hereunder.

Termination

Either you or we may end this Agreement AT ANY TIME, with or without cause, by giving the other party written notice. Written notice can be in the form of mail, email or fax. In addition, this Agreement will terminate immediately upon any breach of this Agreement by you.

Modification

We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified by email. Modifications may include but are not limited to, changes in the payment procedures and The Gray Bearded Green Beret Affiliate Program rules. If any modification is unacceptable to you, your only option is to end this Agreement. Your continued participation in The Gray Bearded Green Beret Affiliate Program following the posting of the change notice or new Agreement on our site will indicate your agreement to the changes.

Payment

The Gray Bearded Green Beret uses its website to track and payout its affiliates through Paypal. Payouts for Live Events will be made after the conclusion of the event. Payouts for products will be monthly unless otherwise negotiated.

Access to Affiliate Account Interface

You will create a password so that you may enter The Gray Bearded Green Beret’s secure affiliate account interface.

Promotion Restrictions

8.1. You are free to promote your own web sites, but naturally, any promotion that mentions The Gray Bearded Green Beret could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by The Gray Bearded Green Beret. For example, advertising commonly referred to as “spamming” is unacceptable to us and could cause damage to our name. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote The Gray Bearded Green Beret so long as the recipient is already a customer or subscriber of your services or web site, and recipients have the option to remove themselves from future mailings. Also, you may post to newsgroups to promote The Gray Bearded Green Beret so long as the newsgroup specifically welcomes commercial messages. At all times, you must clearly represent yourself and your web sites as independent from The Gray Bearded Green Beret. If it comes to our attention that you are spamming, we will consider that cause for immediate termination of this Agreement and your participation in The Gray Bearded Green Beret Affiliate Program. Any pending balances owed to you will not be paid if your account is terminated due to such unacceptable advertising or solicitation.

8.2. Affiliates that among other keywords or exclusively bid in their Pay-Per-Click campaigns on keywords such as The Gray Bearded Green Beret, graybeardedgreenberet.com, and/or any misspellings or similar alterations of these – be it separately or in combination with other keywords – and do not direct the traffic from such campaigns to their own website prior to re-directing it to ours will be considered trademark violators, and will be banned from The Gray Bearded Green Beret Affiliate Program. We will do everything possible to contact the affiliate prior to the ban. However, we reserve the right to expel any trademark violator from our affiliate program without prior notice, and on the first occurrence of such PPC bidding behavior.

8.3. Affiliates are not prohibited from keying in prospect’s information into the lead form as long as the prospects’ information is real and true, and these are valid leads (i.e. sincerely interested in The Gray Bearded Green Beret’s service).

8.4. Affiliate shall not transmit any so-called “interstitials,” “Parasiteware™,” “Parasitic Marketing,” “Shopping Assistance Application,” “Toolbar Installations and/or Add-ons,” “Shopping Wallets” or “deceptive pop-ups and/or pop-unders” to consumers from the time the consumer clicks on a qualifying link until such time as the consumer has fully exited The Gray Bearded Green Beret’s site (i.e., no page from our site or any The Gray Bearded Green Beret’s content or branding is visible on the end-user’s screen). As used herein a. “Parasiteware™” and “Parasitic Marketing” shall mean an application that (a) through accidental or direct intent causes the overwriting of affiliate and non-affiliate commission tracking cookies through any other means than a customer initiated click on a qualifying link on a web page or email; (b) intercepts searches to redirect traffic through an installed software, thereby causing, pop-ups, commission tracking cookies to be put in place or other commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given by the search (search engines being, but not limited to, Google, MSN, Yahoo, Overture, AltaVista, Hotbot and similar search or directory engines); (c) set commission tracking cookies through loading of The Gray Bearded Green Beret in iFrames, hidden links and automatic pop-ups that open The Gray Bearded Green Beret’s site; (d) targets text on web sites, other than those web sites 100% owned by the application owner, for the purpose of contextual marketing; (e) removes, replaces or blocks the visibility of Affiliate banners with any other banners, other than those that are on web sites 100% owned by the owner of the application.

Grant of Licenses

9.1. We grant to you a non-exclusive, non-transferable, revocable right to (i) access our site through HTML links solely in accordance with the terms of this Agreement and (ii) solely in connection with such links, to use our logos, trade names, trademarks, and similar identifying material (collectively, the “Licensed Materials”) that we provide to you or authorize for such purpose. You are only entitled to use the Licensed Materials to the extent that you are a member in good standing of The Gray Bearded Green Beret’s Affiliate Program. You agree that all users of the Licensed Materials will be on behalf of The Gray Bearded Green Beret and the goodwill associated therewith will inure to the sole benefit of The Gray Bearded Green Beret.

9.2. Each party agrees not to use the other’s proprietary materials in any manner that is disparaging, misleading, obscene or that otherwise portrays the party in a negative light. Each party reserves all of its respective rights in the proprietary materials covered by this license. Other than the license granted in this Agreement, each party retains all right, title, and interest to its respective rights and no right, title, or interest is transferred to the other.

Disclaimer

The Gray Bearded Green Beret MAKES NO EXPRESS OR IMPLIED REPRESENTATIONS OR WARRANTIES REGARDING The Gray Bearded Green Beret SERVICE AND WEB SITE OR THE PRODUCTS OR SERVICES PROVIDED THEREIN, ANY IMPLIED WARRANTIES OF The Gray Bearded Green Beret ABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT ARE EXPRESSLY DISCLAIMED AND EXCLUDED. IN ADDITION, WE MAKE NO REPRESENTATION THAT THE OPERATION OF OUR SITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LIABLE FOR THE CONSEQUENCES OF ANY INTERRUPTIONS OR ERRORS.

Representations and Warranties

You represent and warrant that:

11.1. This Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms;

11.2. You have the full right, power, and authority to enter into and be bound by the terms and conditions of this Agreement and to perform your obligations under this Agreement, without the approval or consent of any other party;

11.3. You have sufficient right, title, and interest in and to the rights granted to us in this Agreement.

Limitations of Liability

WE WILL NOT BE LIABLE TO YOU WITH RESPECT TO ANY SUBJECT MATTER OF THIS AGREEMENT UNDER ANY CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE OR GOODWILL OR ANTICIPATED PROFITS OR LOST BUSINESS), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED IN THIS AGREEMENT, IN NO EVENT SHALL The Gray Bearded Green Beret’s CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER BASED IN CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL COMMISSION FEES PAID TO YOU UNDER THIS AGREEMENT.

Indemnification

You hereby agree to indemnify and hold harmless The Gray Bearded Green Beret, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) (any or all of the foregoing hereinafter referred to as “Losses”) insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, the content therein not attributable to us.

Confidentiality

All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of this Agreement which is marked “Confidential,” will remain the sole property of the disclosing party and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party.

Miscellaneous

15.1. You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and The Gray Bearded Green Beret. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Site or any other of Your Site or otherwise, that reasonably would contradict anything in this Section.

15.2. Neither party may assign its rights or obligations under this Agreement to any party, except to a party who obtains all or substantially all of the business or assets of a third party.

15.3. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Texas without regard to the conflicts of laws and principles thereof.

15.4. You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.

15.5. This Agreement represents the entire agreement between us and you, and shall supersede all prior agreements and communications of the parties, oral or written.

15.6. The headings and titles contained in this Agreement are included for convenience only, and shall not limit or otherwise affect the terms of this Agreement.

15.7. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated and the remainder of this agreement shall have full force and effect.
